1) Overview
These Terms of Service (“Terms”) are between you and Gadgetspidy Services (OPC) Private Limited (“Gadgetspidy”, “we”, “us”). By using our websites, apps, games, or services, you agree to these Terms.
2) Our Segments
Software Development
We provide budget-friendly, secure, high-quality software development with minimum monthly service charges. We specialize in OTT apps and deliver solutions across Android TV, Apple TV, Fire TV, Roku TV, Samsung TV, LG TV, Android mobile, iOS mobile, and web apps with strong SEO.
Gadgetspidy Games
We publish our own games on Android and iOS (currently Sudoku; more may be added).
Gadgetspidy Media
We are building blogs and video tutorials for C, C++, Java, and other content with AVOD and premium subscriptions for selected courses (e.g., OTT development). This segment is currently under development.
3) Ads in Apps/Games
Some of our apps/games may include ads, including rewarded ads (optional ads that users choose to watch for benefits). In some apps/features, ads may be required for monetization and sustainability. Ad availability and behavior can vary by region and platform policy.
4) Project Start & Payment
For software projects, work begins only after:
- Minimum 50% payment is received, or
- Payment is received as per the agreed amount mentioned in the signed agreement / invoice / written confirmation.
If the agreed advance is not received, we may pause scheduling and delivery planning.
5) Timelines
- Minimum timeline after project start: 15 days
- Maximum timeline depends on scope, features, approvals, third-party dependencies, and platform review processes.
6) No Response / Project Closure
If we do not hear from the client for 3 months (no replies, no approvals, no coordination), the project may be marked Closed.
Any advance paid is not refundable in such a case.
7) Final Payment & Service Suspension
After delivery, the client must pay the remaining balance within 15 days. If payment is not received within this period:
- Services/support may be stopped
- Extra delay fees and/or restart fees may apply to resume services
8) AMC / Maintenance Package
After delivery, ongoing maintenance and updates require an AMC (maintenance package). AMC pricing depends on project scope and will be discussed before project start or deal finalization.
If AMC is not purchased
- After 30 days from delivery, any change request requires project revival fees + AMC.
- Without revival fees + AMC, we do not proceed with change requests.
If AMC is purchased
- We handle small and non-structural changes as defined in the AMC scope.
- For major structural changes or new features, AMC charges may be revised and work continues after paying the updated difference.
9) 30-Day Review Window
Within 30 days after delivery, the client should check and report bugs or required minor fixes related to agreed scope. After this window, the AMC period is considered started and support follows AMC terms.
10) GST & Invoicing
All invoices are issued exclusive of GST. At payment time, +18% GST will be added as applicable.
11) Intellectual Property & Trademark
Gadgetspidy branding, logos, and site content are owned by Gadgetspidy unless otherwise stated.
Gadgetspidy® name and logo are trademarks of Gadgetspidy Services (OPC) Private Limited.
Client deliverables ownership/licensing is governed by the signed agreement/SOW/invoice.
12) Acceptable Use
You agree not to misuse our services or apps, attempt unauthorized access, distribute malware, or violate laws and third-party rights.
13) Disclaimers & Limitation of Liability
Services are provided on an “as is” and “as available” basis, unless a written agreement states otherwise. To the maximum extent permitted by law, we are not liable for indirect or consequential damages. Where permitted, liability is limited to amounts paid for the specific service giving rise to the claim unless otherwise agreed in writing.
14) Governing Law
These Terms are governed by the laws of India.
